EXECUTIVE EXPERIENCE

CONEXANT SYSTEMS, INC., Newport Beach, CA 1998 - 2009
A global technology company providing semiconductor systems for communications applications. Prior to spin-off of Skyworks Solutions and Mindspeed Technologies, annual revenues were $2.1 billion.

Vice President and Treasurer
Created Treasury Department from scratch. Spearheaded development and execution of strategies in support of company financial objectives throughout period of executive management turnover of six CFOs and five CEOs, and during a period of global downtown in the semiconductor industry.

• Managed $1 billion in cash during peak operating years. Developed cash investment policy, obtained proposals from investment managers, negotiated contracts and hired managers.
• Negotiated $350 million secured revolving credit facility to enable spin-off from Rockwell. Subsequently renegotiated terms to eliminate security and increase resources to $475 million.
• Prior to spin-off from Rockwell, built Treasury department from scratch, including implementation of cash management and foreign exchange systems, pension and 401(k) plans, and global insurance program. Post spin-off, hired and developed staff, and implemented formal written finance policies and procedures.
• Architected and implemented company-wide electronic weekly cash forecasting system that enabled the treasury group to forecast company-wide revenues and expenditures.
• Generated cash of $150 million through negotiation of sale/leaseback transactions.
• Raised $1.5 billion through four debt offerings.
• Reduced leverage by $475 million through a combination of exchange offers and open market purchases at a 40% discount to face value.
• Negotiated $80 million receivables financing facility at 60 basis points over 7-day LIBOR.
• Saved $5.3 million by implementing foreign exchange hedging program.
• Implemented financing plan that enabled spin-off of wireless communications business and merger into Alpha Industries to form Skyworks Solutions.
• Implemented separate treasury systems for 2003 spin-off of Mindspeed Technologies and 2002 formation of Jazz Semiconductor joint venture.
• Integrated thirteen domestic and global acquisitions including a $1.3B acquisition of Globespan Virata.
• Reduced facilities costs through space consolidation, sublease of excess space, and buyout of leases.
• Directed staff of five employees in the treasury/credit/collections group, and 25 in the facilities group.

A $13 billion global company with leadership positions in the aerospace, defense electronics, avionics, factory automation, semiconductor, graphics, and automotive components industries.

Assistant Treasurer 1989 – 1998
Executed development and implementation of global financial strategies. Conducted due diligence and determined financial impacts of acquisitions and divestitures; established capital structure and dividend strategy; formulated pension asset allocation strategy; structured leases; directed global risk management program; and provided support to the investor relations function.

• Executed strategic analyses regarding financial impacts of acquisitions and divestitures, restructuring actions, and analysis of peer companies’ businesses as requested by senior management.
• Negotiated $2 billion of credit lines with 25 domestic and foreign banks that reduced costs and improved covenants; maintained relationships with rating agencies, commercial banks, and investment banks.
• Managed $4 billion stock repurchase program. Implemented procedures that reduced execution costs and improved average share repurchase price.
• Established asset allocation strategy for $9 billion of pension assets.
• Developed financing plan for $1.6 billion acquisition of Allen-Bradley and obtained concurrence from rating agencies to maintain debt ratings despite a 50% increase in leverage.
• Member of senior management team that developed initiative to transform Rockwell from a $13 billion conglomerate into an $8 billion diversified electronics company. Performed market and financial analyses that resulted in the following actions:

 Sale of graphics business for $600 million.
 Sale of aerospace and defense electronics businesses for $3 billion.
 Spin-off of automotive business for $1.5 billion.

• Developed and implemented plan to achieve target capital structure through a combination of debt, dividends and stock repurchases.
• Generated incremental sales of $250 million through structuring of customer financing proposals.
• Hired and developed team of financial professionals to achieve senior management objectives.
