Leading multi-billion payment processing company 2002 – 2007
Senior Vice President, Corporate Development Partnered with the President of newly formed international division and the CEO to successfully develop, communicate and implement a strategy to make the company a global leader in its core businesses of financial IT and payment systems. Worked closely with regional managements to analyze individual market structures and identify optimal market entry strategies; develop and sell the value proposition to market participants; and execute specific growth opportunities including acquisitions, JV’s, alliances and major outsource contracts. Responsible for strategy development and annual strategic plans and reviews.
• Executed 21 transactions expanding FDI’s revenues from $380 MM to $1.7 Billion annually and geographic presence from 7 to 39 countries. • Drove strategy that maximized long term value creation through optimization of operational and platform integration and leveraging of existing product sets and capabilities. The $1.8 Billion in capital invested is contributing over $300MM in EBITDA. • Built team of eight dedicated and five shared professionals and established processes and systems to substantially increase group effectiveness. • Prepared Board presentations and communicated value propositions. • Recipient of the Winner’s Circle Award in 2005.
INDEPENDENT CONSULTANT 2001 Completed a variety of consulting engagements focused on strategic and financial assignments with early-stage companies including IVR technology and a hosted software solution for educators.
Major Telco 1996 – 2000 A $25 billion telecommunications company, acquired by other major telco
Vice President, Corporate Development (1997 – 2000) Led multi-functional teams working with internal business units in the development, execution and Board approvals for strategic plans and transactions. Developed opportunities with all areas of the company including data, wireless, wireline and directories. • To strategically position wireless business as a national player, worked with management to acquire other telco wireless properties ($3.25 billion) and with other major wireless company to structure wireless joint venture with major European telco, creating largest domestic wireless service provider. • To determine strategic and financial viability of acquiring major global data network to achieve tier-I status in data services, led combined team from both companies that evaluated marketplace, opportunity fit, developed multi-billion dollar bid and negotiated five-year outsource contract. • Worked with wireless management to structure disposition strategy for wireless overlap properties that balanced financial and strategic goals through major property swap with other telco. This led to the expansion of combined companies’ wireless footprint by eight million POPs and reduced tax leakage by over $500 million.
Director of International Projects (1996 – 1997) Supported all operating units in the structuring, valuation, selection and negotiation with local partners and financings on international acquisitions and start-ups including: Panama - $950 million bid for controlling stake in privatization of telco; Italy - $1.8 billion privatization of national directories company; and, Taiwan - investment in $750 million nationwide PCS start-up.

Manager, Corporate Finance (Assistant Treasurer equivalent) (1992 – 1996) Associate Manager, Project and International Finance (1988 – 1992) Supported acquisitions/divestitures, oversaw the management of finance (control and treasury) activities for joint ventures worldwide and affiliates in the Western Hemisphere (over 20 local operating companies), project and special finance situations, development and implementation of corporate capital structure, long-term financing plans and currency and interest risk strategies. Managed three professionals and reported to the Treasurer.
• Contributed significantly to the transition of the company from a diversified conglomerate into a global leader in the chemicals industry and a quintupling in the stock price from 1992 to 1996. • To globalize production capacity at a time of severe capital constraints, partnered with operating divisions to structure a series of global joint ventures and raised $2.7 billion in off-balance sheet financing. Company established a controlling stake in seven major ventures in Europe, Pacific Rim, Latin America, and Canada with a total value of $4.3 billion with only $420 million in cash equity. • To reduce cost and complexity of credit lines, restructured over $1.7 billion in global credit lines and leases, and reduced corporate bank group to 20 from 40 institutions - resulting in annual savings of $5 million and elimination of restrictive operating covenants. • Received Chairman’s Award (1992), one of eight individuals worldwide, and Deal of the Year Award (1996) from Euromoney.
Major Global Financial Institution 1984-1988
Second Vice President, Project and Special Finance Directed the analysis, structuring, negotiation and syndication of domestic and international project financings and leveraged acquisitions; and general project advisory. Closed nine transactions with a total value of $1.4 billion in Latin America, Asia and the U.S. Industries included process, power generation, energy and infrastructure.
Earlier experience included roles at major securities firm as Associate and AVP, corporate finance and at major engineering company, as Associate Engineer.
