Financial Management

Financial Planning & Analysis - Led the global FP&A processes for then $5.3 billion in revenues and $0.5 billion EBT Corporation, including annual operating plans, monthly profit forecasting and capital expenditure budgets ($200 MM) review and analysis. Directed three regional financial planning directors. Introduced economic-value-added metric.

Global Tax - Directed the Corporate Tax Department. Initiated and implemented an international holding company structure, resulting in permanent 2-point reduction in effective tax rate for annual savings of $46 MM, including two significant intercompany debt push-down strategies. Closed IRS audits for eight tax years in 36 months, freeing over $100 MM in tax reserves. Effective tax rate reduced from 42% in 1998 to 24% in 2005. Negotiated $35 million in tax incentives for new R&D facility.

SEC Reporting - Strengthened financial disclosure controls as member of Certification Committee responsible for review of 10K, 10Q SEC filings and earnings releases. Responsible for and sub-certifier of financial statements relating to tax, treasury and risk management items. Wrote MD&A commentary on liquidity, capital resources and financial risk management; and financial statement notes on financial instruments, taxes, risk management and pensions. Annual presentations to Audit Committee on currency hedging, tax exposures and risk management processes.

Sarbanes Oxley Compliance - Responsible for development and management of internal controls over financial statements for Tax and Treasury items including controls over complex FAS 133 Accounting for Derivatives and FAS 109 Accounting for Deferred Taxes. Treasury Department recognized for zero ineffective internal controls in first year of Sarbanes-Oxley compliance. Experienced in FAS 141 Valuations.

Investor Relations - Assisted CEO in presentations, road trips and meetings with buy-side, sell-side analysts and institutional shareholders. Solely delivered all fixed income investor presentations. Media-trained and experienced in dealing with press.

Operations Finance - Headed Finance for Asia-Pacific Business Unit (then $450 MM in revenue and eight operating subsidiaries) and, subsequently, Latin American Business Unit ($820 MM in revenue and nine operating subsidiaries). Responsible for all financial operations, including accounting, financial reporting, budgeting, planning and finance decision-making support to SVP Business Unit Heads during high growth periods; 55% growth in revenues and 43% in EBT in two years in Asia and 48% growth in revenues and 89% in EBT in two years in Latin America. Managed close-in pricing process during hyperinflationary periods to protect margins.

Expense Reduction - Selected by CEO to lead corporate overhead reduction project, resulting in $30 MM in annual cost savings.

Strategic Management

M & A - Orchestrated financial analysis, due diligence, evaluation, tax planning and Board presentations of numerous acquisition opportunities, strategic alliances and minority shareholder buyouts both domestic and foreign. Experienced in seller negotiations, coordination with bankers, lawyers and rating agencies. Handled divestitures and partner negotiations in joint venture exits.

Initial Public Offering - Prepared plan for equity carve-out as CFO for an initial public offering of $820 MM revenue Latin American business on the New York Stock Exchange as a strategy to enhance parent company’s equity valuation. Structured holding company, service agreements and prepared subsidiary operations for NYSE listing, prepared SEC registration statement.

Financial Strategy - Architect of Company’s financial strategy and share repurchase program. Repurchased $3 billion in stock over 11 years. Developed and presented financial strategies to the Board of Directors, including dividend policy, share repurchase, debt and capital structure policy. Responsible for agenda and presentations to the Finance Committee of the Board of Directors.

Treasury Management

Capital Markets - Led Corporate Treasury Department during period of growth in Cash Flow from Operations from $292 MM to $896 MM. Issued over $2 billion in public and private debt offerings over 10 years including straight debt, zero coupon convertible, put bond and exchange offerings. Initiated and executed two $500 MM leveraged recapitalizations.

Hedging - Architect of Company’s foreign currency hedging and interest rate financial risk management programs (often cited in the press), covering $1.4 billion in currency exposures and $1.6 billion debt portfolio. Generated interest swap P&L gains of $110 MM, allowing the Company to capitalize on low interest rates. Generated $51 MM in currency hedging gains during ‘98-‘02 periods of weak foreign currencies. Achieved 15% reduction in annual $20 million insurance premium budget.

Credit Ratings - Strengthened relationships with credit rating agencies; building and maintaining targeted single A and A1/P1 credit ratings despite significant debt increases and business downturn.

Pensions - Converted $1 billion traditional U.S. pension plan to cash balance plan in 1998 to contemporize pension benefit for employees. Chairman of Avon’s Retirement Board and Pension Investment Committee. Fiduciary responsibilities for over $1.2 billion in worldwide pension and trust investments. Initiated funding and hedging programs for corporate deferred compensation and non-qualified benefit plans, totaling $100 MM.
