Chief Financial Officer, Finance & Administration

Co-founded the company and assumed responsibility for all financial and administrative management functions including: Cost and revenue accounting, budgets, forecasts, taxes and filings, contracts, lease agreements, joint-venture agreements, insurance, and audits. Manage leasing, seismic and drilling programs. Brought in investors and personally invested in exploration and drilling projects. Negotiated 8,000 acres in leases and joint venture agreements.

EDGEMARC ENERGY HOLDINGS, LLC - Canonsburg, PA

EdgeMarc is a privately-held natural gas company safely producing clean-burning natural gas in Pennsylvania and Ohio. Founded in 2012, the company has 50,000 in gross leased acres, and $250M in capital invested to date.

Chief Financial Officer, VP Finance

Brought in to establish financial and IT systems for this rapidly growing company. Key operational responsibilities included treasury and cash management; financial reporting, forecasting proformas and valuation models; banking and investor relationships; risk management (insurance and general liability); and business/administrative services.

* Brought accounting functions in-house; installed accounting systems and fully integrated electronic invoice retrieval and approval software; hired and supervised accounting department staff and 3rd party accountant.

* Created financial and reporting systems, including project and G&A budget to actual reports. Developed and managed corporate budgets, budget variance analysis reporting. Supervised audits and tax reporting and distribution including K-1s, and 1099s. Internal controls processes - internal audit and reviews

* Implemented fully-integrated IT systems for entire company; negotiated contracts for 3rd party IT and server providers; secured and oversaw 3rd party IT consulting firm.

* Assumed responsibility for managing all Human Resources for the company. Managed payroll and benefits, established corporate 401K program and insurance plans.

* Interfaced regularly with the Board of Directors; prepared and presented investor and BOD communications and reports; managed special board-directed projects. Active with Corporate Audit Committee.

* Coordinated the relocation of headquarters office to a 7,000 sq. ft. Class A office in the Pittsburgh area, including site evaluation and managing the physical move.


PGMT ENERGY - Pittsburgh, PA
2004 - 2007

An Appalachian Basin oil & natural gas exploration and production company with over 1,300 wells in 4 states, 300 miles of gas transmission lines, and 3,000 leases; the company was sold to North Coast / EXCO in 2006.

Vice President of Finance

Brought in to supervise corporate finance, accounting and production staff at headquarters office as the company prepared for growth or sale. Prepared budgets, forecasts, financial statements, and monthly industry reports. Processed all Payroll, HR, 401K and benefits plans for 85 employees. Responsible for corporate treasury, cash management & credit activities; developed in-house controls; managed all bank and investor accounting audits. Developed integrated company forecast, valuation, and financial covenant compliance models. Managed the Land Administration Department including leases, contracts and negotiations.

* Redesigned and upgraded inventory control processes, software and controls across multiple field offices; revamped fixed assets accounting with new fixed asset software - reducing taxes by $700,000 in one year.

* Installed accounting software upgrades, dramatically improving accounting processes and resulting in 80% reduction in closing process time. Developed Excel spreadsheet that improved the project estimating process.

* Consolidated the remote Accounting and Land Administration departments into Pittsburgh headquarters.
