Brought in by the Chairman to provide strategic oversight and hands-on operational support to portfolio companies with operations in the UK, France, Israel, Russia and the US. Oversee the portfolios development, evaluating new technologies, selecting new investments, and delivering exits.
ª Active participant in six high performing boards across a portfolio of companies: Toluna, Maxifier, Magenta, Audionamix, TUTE Genomics, and LogNet Systems. As licensed CPA, acted as financial expert for audit committees and promoted sound corporate governance.

KSS RETAIL (acquired by dunnhumby, Ltd) 2007 to 2012
An international software business backed by venture capital investors with entities in the UK and US, providing price optimization solutions to retailers throughout the world. The business was sold to dunnhumby Ltd in January 2010.
Chief Financial Officer & Corporate Secretary
Recruited by the CEO (former CEO of TCI Solutions) to create a corporate structure separating the retail price optimization solution business from the parent company to create greater shareholder value. Led the Finance, Information Technology and Human Resources functions, with responsibility for corporate strategy; business planning and budgeting, corporate risk, compliance, governance issues, and Board relations.
ª Instrumental role in the investors exit and sale of the business. Essential to negotiating and finalizing the SPA, led the due diligence process and served as primary liaison with legal, financial, tax, and transaction advisors.
ª Facilitated transformational shifts in corporate strategy by partnering with the CEO to instill vision and grow key areas of the business, including post acquisition integration into the parent companys business.
ª Successfully separated the retail business into two international business entities within 60 days of hire, enabling a former line of business to pursue its unique strategic market potential. Created legal structure, addressed complex intellectual property issues, and established all critical Finance, HR and IT functions and infrastructure in the UK and US to address multiple currency and multiple entity financial consolidations.
ª Developed and delivered incentive compensation plans for sales and professional services including a companywide employee stock option plan and bonus plan to align the business with growth plans.
ª Ensured IFRS compliance in the preparation of bi-annual consolidated financial statements. The company was a member of a publicly traded group on Londons AIM exchange requiring multiple annual audits.

Vice President of Finance (acting CFO) & Corporate Secretary (2006 to 2007)
In the absence of a CFO, was promoted to the most senior finance position in the company, with responsibility for turning around business and securing a much needed credit facility for the company, while continuing to oversee Finance, Accounting, IT, HR, and Administration.
ª Led turnaround business planning, interfacing with Board of Directors to improve Nexiants financial health. Initiated monthly revenue management to attain a 51% increase in month-over-month sales, and led cost reduction efforts that attributed to a 20% improvement in product margins and a 34% reduction in SG&A.
ª Integral member of senior management team leading business transition from an OEM supplier to a direct manufacturer and distributer, professional services and technology provider with a multi-national supplier network.

Senior Director of Finance & Accounting (2005 to 2006)
Brought in by the CFO to revamp and lead Finance, Accounting, IT, HR, and Administration.
ª Selected and implemented cutting-edge company-wide business intelligence system for general ledger, manufacturing, inventory, project accounting, and CRM in less than 9 months, with well-defined supporting processes. Re-hired by the CFO to manage the Accounting and Finance organizations to increase revenue, deliver improved operational efficiencies, and maintain compliance with GAAP and related software revenue recognition guidelines. Managed SEC compliance, audit relationships, and preparation of 10-K, 10-Q and related filings. Managed corporate risk by developing and monitoring standard licensing contracts, commercial insurance coverage, and employee benefits. Trained and developed a team of nine professionals, improving operational execution, information management and business decision support.
ª Integrally engaged in a successful $13M equity raise of venture investment for growth, and later played a key role in the sale of the business.
