PROFESSIONAL EXPERIENCE

INGERSOLL-RAND COMPANY, Woodcliff Lake, NJ 1979 - 2000
An $8.5 billion manufacturer of non-electric machinery and equipment with operations in over 250 locations worldwide. Products include bearings and components, locks and door hardware, air compressors, compactors, rock and rotary drills, road machinery, skid steer loaders, mini-excavators, temperature control equipment, pumps, tools and golf cars.

Controller - Accounting and Reporting (1993-2000)
Assistant Comptroller (1984-1993)

· Reduced closing cycle from 8 days to 4 days. (This re-engineering process was a finalist in the "Reach Awards Program" of CFO Magazine.)
· Created and presented alternate accounting proposals to the Office of the Chief Accountant of the Securities and Exchange Commission.
· Established an "International Holding Company" located in the Netherlands, to effectively utilize cash and tax strategies for European affiliates.
· Organized two Liability Management Companies, which generated potential tax savings of $100 million.
· Led internal and external teams in the analysis, structure and execution of M&A, joint ventures and divestitures both domestically and internationally.
· Designed the reporting system to control the delivery of common administrative resources to all domestic business units for a newly established (shared services) entity. Services included information technology, strategic sourcing, finance, employee benefits and human resources. Measured and linked projected plans, quality improvements, costs and projected savings in excess of $75 million over five years.
· Integrated implementation strategies, for the assimilation into the company's systems, of numerous acquisitions (three of which had annual sales in excess of $1 billion).
· Created tax efficient acquisition vehicles for entities purchased in the United Kingdom, Spain, Germany and France.
· Created presentations for analysts meetings and debt rating agencies.
· Developed the plan, which produced the Company?s award for "Excellence in Corporate Reporting" from the Association for Investment Management and Research.
· Directed the accelerated filing of various SEC documents, which facilitated the issuance of over $500 million of debt instruments at favorable interest rates.
· Prepared and delivered periodic financial presentations to the Audit Committee.
· Member of the "Advisory Committee" to the company's finance subsidiary.
· Maintained the accounting for and assisted in the development of various executive compensation plans (deferred bonus, stock grants, estate enhancement, etc.)
· Extensive cost accounting experience.
· Designated as the primary contact for the Company's public accountants (PricewaterhouseCoopers).
· Chairman of the Company's Charitable Contributions Committee.

Director of Corporate Consolidation (1981-1984)
Manager of Financial Policies and Technical Accounting (1979-1981)

· Coordinated the worldwide consolidation and reporting of the company's financial results.
· Determined the proper accounting treatment for the Company's activities; prepared Annual Reports, Forms 10-K, 8-K, S-3, and 10-Q to the SEC, and all financial information; prepared monthly financial reports used for board meetings, including narrative descriptions of operating results by group.
· Member of the company's International Accounting Policy Board.
· Responsible for the financial accounting of the company's tax accounts.
· Member of the company's Pension and Benefit Review Committee.
· Provided technical accounting expertise within the organization.
· Prepared corporate accounting positions on proposed transactions involving multi-million dollar acquisitions, dispositions, sale and leaseback transactions, etc.
· Authored corporate policies in conjunction with pronouncements issued by the FASB and SEC.
· Responded to exposure drafts, etc. issued by various regulatory agencies.

· Provided clients in various industries with continuous audit services including: annual audit examinations, acquisitions and disposition reviews, pension reports, interim reviews, IPO filings, SEC compliance reports, evaluation of accounting controls within data processing and management information systems.
