2005 to 2007 SIMULATION TRAINING COMPANY (Publicly traded) VICE PRESIDENT AND CHIEF FINANCIAL OFFICER
Joined this TSX listed training integrator for global customers in the military and commercial aviation sectors, providing integrated flight training and aircraft maintenance training solutions. With its Canadian based operations, we expanded the company to include a US based secured military operations site in Florida, the military simulation capital.
Key member of the strategic planning and executive management committees which established a US based operation in Florida which obtained a US military “secured site” designation while simultaneously producing revenue-generating products.
Installed a financial reporting department in the US while simultaneously upgrading the financial reporting process in Canada
Drove the acquisition strategy, including evaluating potential acquisition candidates in the US.
Implemented systems and procedures to comply with the new public company disclosure and internal control rules (Ontario Bill 198 and US Sarbanes-Oxley).
Managed all regulatory reporting, including interim and year-end reporting processes, annual shareholders meetings and material disclosures.
Took the Company through an extended Ontario Securities Commission (OSC) review of the Company’s reporting compliance which included stock option expensing and revenue recognition.

2005 ENERGY TECHNOLOGY COMPANY (Publicly traded) FINANCIAL CONSULTANT
Worked with this early-stage TSX Venture listed company in helping them raise $5 million from mostly US based investors while taking the Company through its first audited financial statements process and then its annual shareholders’ meeting.
2002 to 2004 ENVIRONMENTAL SOLUTIONS COMPANY (Publicly traded) VICE PRESIDENT FINANCE AND CHIEF FINANCIAL OFFICER
Joined this start-up environmental solution company that attempted to convert used tires into their base components, utilizing new pyrolysis technology. I was involved in raising money, acquiring two companies and negotiating the contract for the construction of a proposed pyrolysis facility in eastern Canada.
Raised $4 million in new equity, obtained a $1.6 million secured bridge loan, and issued $2.5 million of convertible debentures to finance the acquisitions of a tire recycler and rubber manufacturer.
Executed the Company’s acquisition strategy of consolidating the fragmented recycling industry. Involved in evaluating acquisition candidates in the United States and Canada.
Negotiated the contract for the construction of a proposed $40 million tire pyrolysis facility with a $7 billion Finnish based company on an EPCM (Engineering, Procurement, Construction and Management) basis, which also included a North American territorial rights agreement.
Oversaw the negotiations to obtain contracts with two provincial governments responsible for management of scrap tires in their respective provinces, whereby Unisphere was awarded contracts to clean up used tire sites in both provinces.
1997 to 2001 GRAPHIC ARTS COMPANY (Publicly traded) VICE PRESIDENT, SECRETARY & CHIEF FINANCIAL OFFICER
Worked with the founder in taking the company public on the TSX. Subsequent to its listing, we acquired two competitors. I was integrally involved in the company’s strategic growth plans, raising money, managing the merger process and installing an integrated information system
Directed the acquisition of a pre-media communication company and a printing company.
Sourced $7 million of funding required to execute the Company’s growth strategy. This included raising equity, secured convertible debenture, sub-debt and term loan financing.
1991 to 1996 CONSUMER PRODUCTS and WIRELESS TECHNOLOGY COMPANY (Publicly traded) VICE PRESIDENT FINANCE & CHIEF FINANCIAL OFFICER
Brought in by the major shareholder, a large Venture Capital Group, as the first member of a new management team recruited to improve the fortunes of this TSX listed company, which at that time was a smoke and gas alarm company with manufacturing operations in Canada and Mexico, and subsidiaries in the USA, United Kingdom and Barbados. The management team repositioned the Company from a struggling consumer products business into a successful technology start-up wireless communication company, eventually selling the Company at a significant premium. I was integrally involved in the company’s strategic plans to return the consumer products operation to profitability, raising money via share issue, selling the division at a significant premium, acquiring another high tech company and subsequently launch the new wireless communication business.
Integral part of a small executive team that increased the capitalized value of the company from $7 million to $50 million as well as significantly increasing shareholder liquidity.
Sold the consumer products division and subsequently paid an $8 million special dividend to shareholders. Ensured an orderly transition for suppliers, customers and employees and settled all post closing issues.
Raised $8 million via a share issue. Co-ordinated filing of the prospectus and all regulatory disclosures.
Oversaw operations at the Company’s Mexican manufacturing operation in Juarez, Mexico, an operation controlled by our Barbados unit which reported to me. Negotiated all Mexican agreements and monitored operations. Quality control manager reported directly to me.
Co-coordinated the establishment and management of a joint venture in the UK with European partners which won a $10 million contract to supply the International Postal Corporation based in Brussels, Belgium.
Risk manager, which involved co-ordinating all product liability law suits (smoke and gas alarms). Smoke and gas alarm products attract numerous law suits in the US.
Managed all international regulatory reporting which included the preparation of tax filings for all jurisdictions (Barbados/Canada/USA and the UK).
Managed the significant foreign currency requirement issues which included hedging of funds.
1989-1991 OUTDOOR SIGN COMPANY (Publicly traded) San Antonio, TX VICE PRESIDENT FINANCE & CHIEF FINANCIAL OFFICER
Part of a new management team whose mandate was to turn-around this unprofitable Toronto-based TSX listed manufacturer and world-wide distributor of outdoor advertising material, with operations in Canada, the USA and the UK. As part of this restructuring, which eventually brought the company back to profitability, all operations were consolidated in the USA (Texas).
Designed a business plan that obtained the support of the bankers and suppliers; implemented the plan that resulted in eliminating significant operating costs which ensured the survival of the company.
Installed a new head office administration department at the Texas manufacturing operation, while simultaneously closing down the Canadian operation.
Directed the defense of a US filed patent infringement lawsuit. Subsequently negotiated a settlement which involved royalty payments.
