Professional Experience: 1984 ˇV Present Healthcare company - annual sales: $1.5 Billion Vice President and Controller (Principal Accounting Officer for S.E.C. filing purposes) Accounting - Directly responsible for all aspects of accounting. Ensures all transactions are accounted for in accordance with generally accepted accounting principles. Develops and maintains accounting policies. Researches all new accounting pronouncements for applicability and implements applicable rules. Maintains an effective set of internal controls. Financial Reporting and Analysis - Directly responsible for financial statement preparation; management reporting; Board of Directors reporting; lender reporting; routine monthly financial analysis; product line analysis; impairment analysis; bonus structure analysis; etc. Presents financial results to senior management at monthly meetings. Regulatory Reporting - Directly responsible for the preparation and filing of periodic financial reports (Forms 10-K and 10-Q) to Securities and Exchange Commission. Assists legal department in preparation of non-financial filings (e.g., registration statements, etc.). Ensures compliance with most current financial reporting regulations. Chairperson of disclosure controls and procedures committee. Member of the Sarbanes-Oxley Section 404 steering committee. Accounting and Financial Reporting Systems - Manages team that maintains general ledger, financial reporting and budgeting/planning systems. Currently implementing an enterprise-wide web-based financial reporting system. Treasury Management - Directly responsible for all aspects of the treasury function, including daily cash management; maintenance of banking relationships; development of and adherence to investment strategy; development of interest rate hedging strategies; analysis of financing alternatives; etc. Directly responsible for stock repurchases and the administration of the companyˇ¦s stock award program. Maintains an effective set of internal controls over the treasury function. Forecasting and Budgeting - Responsible for preparation of short-range forecasts. Assists planning department in preparation of long-range forecasts and annual budget. Other - Active participant in quarterly Audit Committee meetings.
