Executive Vice President, Chief Financial Officer and Treasurer
As a member of the Executive Management Team, Operations Committee and Strategy Council, led the development and execution of strategic and tactical initiatives of this $140 million global enterprise application integration software company with offices throughout the world. Reported to CEO and led staff of 45. Responsible for worldwide financial, accounting, tax, legal affairs and investor relations activities. Extensive interaction with Board of Directors on corporate governance and strategic and operating matters. Actively involved with restructuring and repositioning of Company, strategic account management and sales closure.

· Drove $40 million in cost reductions through restructuring and reducing headcount by 1/3rd from 625 to 400 employees resulting in a 70% improvement in the Net Loss over two years.

· Raised $50 million in capital through a “PIPE” equity offering (William Blair & Company) and negotiating asset-based credit facilities (Wells Fargo Foothill and Silicon Valley Bank) while dramatically reducing cash burn and driving Days Sales Outstanding (“DSO”) from 105 to 58 days.

· Led efforts to successfully negotiate and settle an SEC investigation and securities class action litigation arising out of financial restatement in 2000; settled $200 million E&O claim within insurance policy limits.

· Developed and implemented Disclosure Committee charter, policies and procedures arising out of Sarbanes/Oxley legislation (including Code of Conduct, Insider Trading Policy and Confidential Employee Hotline, etc.) and internal controls assessment program to comply with Section 404.

· Personally negotiated a settlement and standstill agreement in conjunction with a proxy contest and hostile takeover attempt initiated by the Company’s largest institutional shareholder.

· Led team of bankers (JP Morgan), lawyers (Jenkins & Gilchrist) and executive management in the successful sale of Company to Ascential Software in a $120 million cash tender offer and related merger of Company; representing a 50% premium in enterprise value, despite a 20% decline in revenues in 2 years.


ONSITE ACCESS, INC., New York 1999 to 2000

Executive Vice President and Chief Financial Officer
Senior financial and operating executive of this late-stage “pre-IPO” international in-building broadband communications provider to small and medium-sized businesses in multi-tenant commercial office buildings. Reported to CEO and led staff of over 40 employees among four divisions with responsibility for finance and accounting, facilities and administration, human resources and legal.

· Partnered with CEO to refine corporate strategy, develop and articulate a compelling business model to the investment community and define key metrics to monitor execution of the business plan.

· Led $250 million initial public offering (NASDAQ) efforts, including: selection and coordination of investment banks (Salomon Smith Barney, JP Morgan, CIBC and Thomas Weisel Partners), drafting of S-1 Registration Statement, corresponding with Chief Accountant at SEC on critical accounting issues, oversight of due-diligence and development of road show presentation.

· Developed an infrastructure to take the business “to the next level” by recruiting, training and energizing employees to “the cause.” Managed explosive, yet controlled, employee growth from 80 to 330 employees and increased office facilities from 3 to 14, in less than a year.
