Private Equity Firm 2005 - Present Vice President
Led and managed pre-investment and post-investment due diligence for firm’s 200+ portfolio companies. Built a best-in-class team to develop broad-based financial, tax and IT due diligence capabilities for the firm. Established innovative techniques to analyze and monitor investments in portfolio companies.

Represented both strategic and financial buyers in over 100 merger, acquisition, joint venture, spin-off, divestiture and carve-out transactions on both the buy-side and sell-side. Developed significant experience in due diligence, transaction structuring, negotiation support and valuation in connection with mergers and acquisitions. Provided value-added assistance to clients through early identification of transaction issues, evaluation of post-acquisition opportunities, and assessment of the sustainability of a target company’s earnings. Industry focus of clients includes logistics, technology, automotive, manufacturing, facilities management, and management consulting services. · Advised PwC on successful $3.3 billion divestiture of PwC Consulting including sell-side due diligence, transaction structuring and purchase price adjustment negotiation. This transaction was initially structured as an IPO and was transformed into a trade sale to IBM.
· Managed and directed cross-functional due diligence teams for UPS in their US and European acquisition programs over a three-year period and 20 transactions.
· Achieved an average of a 5% reduction in purchase price on buy-side transactions for clients through targeted financial due diligence efforts and focus on deal value drivers.
· Advised one of Europe’s largest packaging manufacturers on its planned $150 million investment in Russia including assessment of financing options and preparation of comprehensive investment memorandum used to secure financing from the EBRD and private equity funds.
· Expanded Transaction Services relationship with Fortune 500 client from $0 to a $1 million + annual recurring base of revenue.
Crawford & Company 1992 - 1994 Project Manager - Environmental Catastrophe Services Group
Supervised a team of professionals which had financial oversight of 30 contractors engaged by ARCO to remediate the environmental contamination resulting from a massive oil spill after the 1994 earthquake in Southern California. Managed staff of 40 people which reviewed reimbursement claims for the Florida Department of Environmental Protection (FDER) related to remediation of contamination by leaking underground storage tanks.
Selected accomplishments include:
· Reduced total clean-up cost by approximately $10 million or 25% for ARCO’s 1994 oil spill through negotiated cost concessions from contractors and monitoring of the related clean-up activities.
· Secured cost savings of $20 million or 10% for the FDER by standardization of the application review process.
