Responsible for SEC reporting and Sarbanes-Oxley compliance. Work with CFO on capital markets and other corporate finance projects for this 150-year old company with plants in Mexico, Europe and India. 4 direct reports.
•Implemented foreign exchange purchase program saving $160 k annually
•Worked on corporate recapitalization which included “Dutch Auction” stock Tender Offer financed with debt, stock option replacement and capital leases.

•Negotiated 3% increase in business insurance premiums in a 60-100% increase environment, and reduced medical insurance costs 36% while increasing benefits by implementing novel plans.

•Saved company $27 MM by proving that a high-income proposed joint venture was in fact cash-negative due to very high working capital and opportunity cost.
•Brought down long-term financing requirement by 53% via creative financing and optimization techniques.
•Demonstrated that a product-line being promoted due to high sales growth would eventually drain cash due to rising financing and production costs.

FINANCE MANAGER
Structured creative financing for energy and chemical plant modernization projects in East Europe. Provided syndication, M&A and other investment banking services when these economies were just opening up. Worked in remote Siberian oil fields and chemical plants. Performed discounted cash-flow analysis, debt/equity financing, hedging, foreign exchange and derivative services. Ongoing special projects included industry and competitive analyses for clients and sensitivity analyses of current and planned projects.
•Structured a swap joint venture in cash-tight Russia. The raw-material supplier (oil refinery) supplied naphtha to a plastics (PE/PP) producer in return for end product or its sale proceeds. JV made $60 MM sales in China and Europe at 35% profit, and was financed entirely out of sale proceeds.
•Performed due diligence on a $220 MM ethylene plant start-up in Russia. To complete project structured innovative counter-trade financing when private banks refused traditional syndicated funding for Russia.
•Played a leading role in financing a $70MM chemical plant upgrade. Developed and managed project model, equity valuation and syndication strategy, and made numerous presentations to potential syndicators including MLAs, investment banks and merchant banks.
