PROFESSIONAL EXPERIENCE
Vice President/Chief Financial Officer, Fort Lauderdale, Florida 1998 - 2007 Privately owned producer of water and wastewater treatment systems for both municipal and industrial applications in both US and international markets. Annual revenues between $70M and $90M. Spearheaded all accounting, finance, strategic planning, legal, human resources and information technology functions, managed a staff of 14, some of whom were located internationally. Served as primary advisor to CEO/President. Recommended and implemented the disposition of various products and subsidiaries. Directed cash management, commercial contracts, review/approval of capital appropriation requests and project cost analysis, check runs for approved payables, payroll and benefit reporting, review and approval of commission statements, license royalty payments, month-end close and reporting and preparation of a financial estimate for the remainder of the calendar year. Oversee an external audit annually and prepare an annual report and budgets.
Completed 4 acquisitions, doubling the companys size, by analyzing memorandums and conducting due diligence on potential candidates. Contributed to annual sales in excess of $15-million by negotiating for and licensing 6 new products. Assured cost savings and lowered the break-even point of the operations by outsource fabrication resources. Vice President of Finance, Secretary, Treasurer (1990-1998) Succeeded in a matrix-management structure, reporting to the parent company CFO in Finland, the parent company Vice President of Human Resources, and the Chief Information Officer. Maintained the worldwide multi-dimensional OLAP database utilizing MS/Office and MicroStrategy Business Intelligence tools. Directed financial statement preparation, consolidation of the U.S. Operations, budgeting, general ledger, tax compliance, banking relationships, cash, and risk management. Oversaw corporate governance, external counsel, year-end audits, and health & welfare programs.
Negotiated first non-parent financing by securing a U.S. Holding Companys asset-based bank loan with Huntington Bank in Columbus, Ohio and producing monthly reporting against various loan covenants. Saved in excess of $250,000 per year while increasing benefits by negotiating a new Health & Welfare program that consolidated operations and provided more economy of scale in working with brokers and underwriters. Established and administered a 401(k) plan including all the audits and tax filings required to keep the plan eligible for over 600 participants. Initiated a Non-Qualified Deferred Compensation Plan for over 30 of U.S. Companys top-level managers to overcome the limitation of highly-compensation restrictions in the 401(k) Plan. Secured sale of a $20M credit portfolio of equipment financing notes and replaced it with a third-party equipment financing company providing private-label financing. Ensured overall monetary savings while removing insurance duplications and gaps in coverage by partnering with broker to develop a comprehensive Risk Management program for U.S., Canada, and Latin American operations. Avoided significant tax penalties by spearheading a review and implementation of a transfer pricing policy and procedure between the U.S. subsidiaries and its foreign sister-companies.
Financial Director, Development, Tampere, Finland (1989-1990) Developed a contemporary financial reporting system that provided for a more timely analysis of the finances of Companys worldwide operations on-location at company headquarters in Finland. Directly advised Chief Financial Officer.
Designed and developed Companys Financial Information System (FIS), resulting in improved timeliness and accuracy while achieving a 435 man-days annual savings. Developed a worldwide uniform chart of accounts and reporting template necessary to meet the needs of the IFRS (International Financial Reporting Standards) and Company business plan. Streamlined month-close process by consolidating worldwide operations though the writing, testing, and debugging of various macros for importing data into the worldwide system. Created OLAP database of previously unavailable analysis of worldwide sales and margins by customer, location, and product by working onsite in London with third-party programmer and using MS/Office tools and MicroStrategies Business Intelligence Software. Trained the Finnish Financial Department on how to perform processes with the new program and worldwide financial staff on its utilization of new OLAP database and FIS.
